Item 1.01 Conclusion of a material definitive agreement.
On January 13, 2022, ACRC Lender C LLC (“ACRC Lender C”), a subsidiary of Ares Commercial Real Estate Corporation (the “Company”), and the Company entered into an amendment to the master retirement agreement (the “Citi Facility”) Citibank, NA The purpose of the change is, among other things, to extend the current expiration date of the facility and the availability of funding for the Citi facility by three years to January 13, 2025. The Facility Expiration Date remains subject to two 12 month renewals, each of which may be exercised at the discretion of ACRC Lender C, provided there are no pre-existing Citi Facility defaults and the applicable renewal fees are paid which, if if both were exercised, the maturity of the Citi Facility would extend to January 13, 2027. The change also changes the interest rate provisions in the Citi Facility to allow financing under the Citi Facility in conjunction with new loans pledged to the Citi Facility Use SOFR or an SOFR Average Term in Selecting ACRC Lender C. The above description of the Citi Facility Change is only a summary of certain material provisions of the Change, and is made in its entirety by reference to a copy of that Change , which is hereby submitted, restricted as Annex 10.1 and by this Bez as incorporated herein.
